Use Profitly services only with systems and data you own or are authorized to manage. Keep independent backups, review important outputs, and never send credentials through ordinary email.
1. Agreement to these terms
By accessing, authorizing, or using a Profitly service, you agree to these Terms of Service and the related Privacy Policy. A separate written proposal, statement of work, or client agreement may include additional terms. If a specific signed agreement conflicts with these terms, the signed agreement controls for that engagement.
2. Services
Profitly designs, builds, audits, repairs, documents, and supports workflow automations, system integrations, operational reporting, connected-account utilities, and related business processes.
The exact scope, deliverables, access, responsibilities, timeline, and commercial terms are defined in the applicable project agreement. Unless expressly stated in writing, Profitly services are not permanent data archives, legal records management, regulated professional advice, or substitutes for independent backups and business controls.
3. Client authority and responsibilities
You may connect or submit only accounts, systems, records, and content that you own or are authorized to administer. You represent that you have the necessary rights, permissions, and lawful basis for the requested processing.
You are responsible for accurate instructions, timely approvals, secure credential handling, reviewing requested permissions, maintaining suitable backups, and verifying important outputs before relying on them. Do not send passwords, app passwords, API keys, or access tokens through ordinary email.
4. Acceptable use
You must not use Profitly services to:
- Access another person's account, system, or information without valid authorization.
- Process unlawfully obtained, infringing, fraudulent, harmful, or abusive content.
- Send spam, evade platform limits, bypass security controls, or interfere with normal service operation.
- Probe, reverse engineer, disrupt, resell, or misuse a Profitly system except where a written agreement expressly permits it.
- Violate applicable law, a connected provider's terms, or the rights of another person or organization.
5. Third-party services
Profitly systems may depend on cloud hosting, automation platforms, communication services, customer systems, AI providers, project-management tools, and other third-party services approved for a workflow.
Profitly does not control these providers and is not responsible for their outages, security controls, rate limits, policy changes, data loss, suspension decisions, or discontinued features. Use of a provider does not imply that provider sponsors or endorses Profitly.
6. Data, outputs, and backups
You retain ownership of the data and content you lawfully provide. You are responsible for maintaining independent backups and reviewing important records, outputs, migrations, reports, and automated actions for completeness and accuracy.
Automation can reduce manual work but cannot eliminate every provider failure, incorrect input, edge case, or human mistake. Do not delete source information or remove existing controls solely because an automated execution reports success. The Privacy Policy explains how Profitly handles information.
7. Availability, maintenance, and changes
A service may be changed, paused, limited, or discontinued for maintenance, security, provider changes, nonpayment, legal requirements, project completion, or operational reasons. Unless a written agreement states otherwise, uninterrupted, timely, or error-free operation is not guaranteed.
8. Intellectual property
Each party retains ownership of materials it owned before the engagement. Profitly retains rights in its pre-existing workflow patterns, methods, documentation systems, branding, and reusable know-how. Ownership or licensing of project-specific deliverables is governed by the applicable written agreement.
9. Disclaimers and limitation of liability
Except where a written agreement expressly states otherwise, Profitly services are provided on an as-available basis. To the fullest extent permitted by applicable law, Profitly disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by applicable law, Profitly is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from provider outages, credential revocation, incorrect instructions, unavailable data, user error, or events outside Profitly's reasonable control.
Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
10. Suspension and termination
You may stop using a service according to the applicable project agreement and by revoking connected-account access. Profitly may suspend or terminate access where reasonably necessary to protect accounts, data, users, service integrity, payment rights, or legal compliance.
11. Changes to these terms
These terms may be updated when Profitly services, connected providers, or applicable requirements change. The effective date identifies the current version. Material changes will apply prospectively unless applicable law requires otherwise.
